General sales and delivery conditions for products for business customers  
  1. Application

The following general sales and delivery conditions can only be deviated from by written agreement between the parties. Let's Go Live ApS sells exclusively to businesses unless otherwise agreed.
  1. Price and payment conditions

All stated prices are excl. installation, VAT and other public expenses. The price is determined on the basis of Let's Go Live's official price list at the time the offer/order is submitted. Let's Go Live reserves the right to change these prices from time to time and takes into account typographical errors. Payment: If the purchase price is not paid on time, we reserve the right to calculate interest in accordance with the Interest Act, Let's Go Live can always, regardless of contrary agreements, demand a satisfactory guarantee for payment with one day's notice. Let's Go Live is not responsible for the costs of such a guarantee. All foreign orders, including orders to Greenland and the Faroe Islands, must always be prepaid.
  1. Delivery
The delivery dates are not binding, although they may be stated on the order and are confirmed by Let's Go Live. Let's Go Live endeavors to meet the stipulated delivery dates as far as possible, but assumes no responsibility for any delays. The buyer, on the other hand, has no claim to compensation if the delivery date is postponed. If the delivery is not possible due to force majeure, Let's Go Live can, without notice, postpone the delivery indefinitely or cancel the order, without any claims for compensation being made against Let's Go Live. Force majeure includes: Labor dispute and any other circumstance beyond the control of the parties, such as fire, requisition, seizure, currency restrictions, riots, riots, lack of means of transport, orders from environmental authorities, restrictions on motive power as well as deficiencies in or delays in deliveries from sub-suppliers, in addition arising from sub-suppliers' bankruptcy, which are due to any of the circumstances mentioned in this point. All stated delivery times only apply to deliveries in Denmark and not to deliveries to other countries, e.g. Greenland, the Faroe Islands, etc. Unless otherwise stated, promotional offers and other offers only apply to orders for delivery in Denmark.
  1. Property relationship
Ownership of the item sold remains with Let's Go Live until the purchase price has been paid in full. If the buyer pays an amount that is less than the total outstanding amount, Let's Go Live has the right to determine what part of Let's Go Live's receivables shall be considered paid with that payment. This applies regardless of whether the buyer allows the partial payment to be accompanied by instructions that a specific part of Let's Go Live's receivables is hereby paid. Until ownership passes to the person concerned, the buyer is obliged to only use the sold in a responsible manner, to maintain it and to keep the sold both fire and theft insured for full value at his own expense. The buyer is obliged to sign the mortgagee's declaration at Let's Go Live's request. If several effects have been sold by the same agreement, ownership is valid in all the effects until the purchase price of the effects has been paid. When selling software, only the right to use the software is sold. When selling access to the content platform, only the right to access the platform, play videos and download the available files, whose intention is to download, is sold. The right of use is reserved for the company that buys access and the access may not be distributed.
  1. Modification and cancellation
Cancellation or reduction of order can only be done with Let's Go Live's approval. If it is a special order, the item cannot be returned unless otherwise agreed.
  1. Products
All products sold by Let's Go Live are covered by a 1-year warranty from the invoice date, unless otherwise agreed in writing. All equipment sold with information that it is used or has been used as demo equipment is covered by a 30-day warranty unless otherwise agreed in writing. Some manufacturers offer an even longer warranty in some cases, in these cases the warranty applies to the agreement between the buyer and the manufacturer, where the buyer must bear the cost of return shipping to the manufacturer. Let's Go Live is therefore not part of this agreement. Let's Go Live can therefore not be held responsible for the RMA processing that takes place directly between the buyer and the manufacturer.
  1. Software
It is the buyer's decision to use the software covered by the agreement. Let's Go Live cannot in any case guarantee that the software has a quality, performance or usability that can concretely meet the buyer's needs. Software provided by Let's Go Live is provided as is and as is. In no case is Let's Go Live therefore liable for damages in connection with direct or indirect damages and financial loss that may be a consequence of a lack of quality, performance or usability of the supplied software. Software licenses cannot be returned.
  1. Return
Returns can only take place after prior agreement with Let's Go Live. The item is returned in unopened packaging. If the packaging has been broken, Let's Go Live reserves the right to demand a return fee of up to 50%. The customer bears all shipping costs.
  1. Defects and complaints
Check your delivery immediately upon receipt. Be aware of pressure and impact damage. If you receive a damaged product, you must notify Let's Go Live in writing as soon as possible after receiving the product and no later than 2 days after the time when you (the buyer) have or should have discovered the error or deficiency in question. Complaints about errors and defects must always be submitted before the product is used. Let's Go Live is subject to the manufacturers' rules for right of complaint for manufacturing and material defects. Unless otherwise stated, Let's Go Live provides a 1-year warranty for manufacturing and material defects. The right to complain expires if the defect is caused by the buyer's circumstances, for example as a result of incorrect use or unauthorized repair. If a product turns out to be defective, Let's Go Live can choose to remedy any defects, from which it follows that the buyer must wait for rectification, as long as this can be done within a reasonable period and without significant inconvenience to the buyer. Return of goods can only take place after prior agreement with Let's Go Live. See "section 8: Return”. Let's Go Live is entitled to invoice the customer according to time spent if a returned item is found not to be faulty/missing or to have been subjected to external damage, misuse or unauthorized repair.
  1. Damage to persons and things
Let's Go Live is liable for personal injury if it is proven that the damage is due to gross negligence committed by Let's Go Live or others for whom Let's Go Live is responsible. Let's Go Live is not responsible for damage to real estate or personal property that occurs while the item sold is in the buyer's possession. Let's Go Live is also not responsible for damage to products manufactured by the buyer or for products in which these are included. Let's Go Live is not responsible for operating losses, lost earnings or other indirect losses. Regardless of whether Let's Go Live has suggested the location of the equipment, etc., the buyer bears the risk of whether the placement of the equipment has an impact on other equipment, installations, etc.
  1. Responsibility
To the extent that Let's Go Live is liable to the buyer, Let's Go Live's liability is limited to the direct loss and thus does not include consequential damage to connected equipment and indirect loss such as lost earnings, operating loss, installation costs, etc. If Let's Go Live is to install equipment, it is the customer's responsibility to ensure that existing data is backed up, including ensuring that the backup made is of such a nature that it can be used afterwards. Let's Go Live assumes no responsibility as a result of the buyer's legal relationship with third parties. Let's Go Live is only responsible for damage caused by delivered goods to the extent that the damage is due to negligence on Let's Go Live's part and not to a greater extent than stated above. Let's Go Live's liability for damage to property cannot exceed DKK 50,000 and Let's Go Live is liable for 1 year from the handover of the goods to the buyer for any damage caused by the goods. To the extent that Let's Go Live may be charged with product liability towards a third party, the buyer is obliged to indemnify Let's Go Live to the same extent that Let's Go Live's liability is limited pursuant to the above.
  1. Right of withdrawal

  1. Force majeure
Any order is accepted subject to force majeure, including war and mobilization, civil unrest, natural disasters, strikes and lockouts, failure of supplies of raw materials, fire, damage to Let's Go Live or Let's Go Live's suppliers' production equipment, failure of transportation options, import/export ban or any other event which prevents or limits the ability of Let's Go Live or Let's Go Live's suppliers to deliver. In the event of force majeure, Let's Go Live has the choice between canceling the deal, or part of it, or delivering the agreed item as soon as the obstacle to normal delivery has ceased. In the event of force majeure, Let's Go Live is not liable for any losses incurred by the buyer as a result of non-delivery.
  1. Venue
The legal relationship according to these standard regulations and annexes and their interpretation is determined according to Danish law. If a disagreement arises between the parties regarding the present standard provisions and annexes, or their interpretation and/or completion, each of the parties is entitled to demand that the discrepancy be finally settled by arbitration. The arbitration court must be composed of three arbitrators, of whom the complaining party appoints one arbitrator, the complained party one arbitrator, while the President of the Western High Court appoints the third arbitrator, who must be a judge and act as chairman of the arbitration court. The party that wishes the arbitration court to be convened must notify the other party of this by registered letter, which must contain an indication of the issue that is desired to be submitted to arbitration. At the same time, the party must notify the other party of its choice of arbitrator and invite the other party to appoint its arbitrator. If the other party has not appointed its arbitrator within 14 days of being invited to do so, this will be appointed by the President of the Western High Court at the same time as or after the chairman of the arbitration court is appointed. The arbitral tribunal decides by simple majority. In the event of a tie, the Chairman has the casting vote. The seat of the arbitration court shall be in Copenhagen. The arbitral tribunal itself decides on the procedural rules for the arbitration and decides the question of court costs. The Arbitration Act also applies.
  1. Let's Go Live ApS Personal data policy
The "General Data Protection Regulation" (GDPR) is the name of the EU's new personal data legislation which aims to protect EU citizens from misuse of their personal data. Therefore, by 25 May 2018, all European companies must tighten their processes for how personal data is collected and processed securely. About Let's Go Live ApS personal data policy The security of your personal data is important to us. What personal data do we collect and for what purpose? We only deal with companies. In order to enter into a contract/purchase with us, the name of the contact person and their company email and telephone number are also collected. This is done in order to be able to deliver the ordered goods and communicate about the purchase or rental with us. This information is provided by you either on our webshop or in contact with one of our consultants and includes, in addition to company data, also: your name, your company email and telephone number. In order to enter into an agreement to receive our newsletters, you provide yourself in the confirmation registration: your name, company email and any business. The purpose is to pass on relevant information about our products, campaigns and events. What is the basis of our processing? Our processing of your general customer data is carried out because the processing is necessary to fulfill the agreement for purchase, rental or information about our products. How long do we store your personal data? We store the information until you actively ask for it to be deleted. We continuously update your personal data so that it remains relevant. We also keep your personal data, as it appears on the invoice printed for your company, for the sake of public authorities, warranty cases and the future dialogue. What rights do you have as a registered user? You have the right to gain insight into what personal data we have about you and to have this information corrected or deleted. You have these rights according to the Personal Data Act. The information submitted to Let's Go Live ApS is not passed on to others. We have data processing agreements with those who supply the internal systems we use to collect our customer data. These data processing agreements guarantee that we can handle your personal data in a responsible manner in accordance with the law. Unless otherwise agreed in writing, these terms and conditions of sale and delivery constitute solely the agreement of the parties. Updated on 18-01-2023
